These Terms of Use (“Terms”) state the terms and conditions governing your access to and use of the website located at www.ailabsinc.com, www.ailabsinc.ai and any pages, content, features and downloadable materials made available through it (together, the “Site”). The Site is owned and operated by AI Labs, Inc., (herein after referred to as AI Labs, Ai Labs, Ai Labs, Inc) a United States company with its principal office at 430 W Warner Rd #113, Tempe, Arizona 85284, USA (“AI Labs,” “we,” “us” or “our”). These Terms constitute a legally binding contract between you and AI Labs.
By accessing or browsing the Site, or by using or downloading any content from it, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the Site.
If you are an individual, you represent and warrant that you have reached the age of majority in the jurisdiction in which you reside.
If you are accessing or using the Site on behalf of, or for the benefit of, a corporation, partnership or other entity with which you are associated (an “Organization”), you are agreeing to these Terms on behalf of yourself and that Organization, and you represent and warrant that you have the legal authority to bind the Organization to these Terms. References to “you” and “your” refer to both the individual using the Site and any such Organization.
Your agreement with AI Labs regarding the Site consists of these Terms, together with our Privacy Policy and any additional terms and conditions posted on the Site or otherwise made available to you by AI Labs. Where you have entered into a separate written agreement with AI Labs for products or services (for example, a services agreement or a platform subscription), that agreement governs those products or services and prevails over these Terms to the extent of any conflict.
AI Labs reserves the right, at its sole discretion, to modify or remove all or portions of these Terms at any time. When we do, we will update the “Last Updated” date at the top of this page. Your continued use of the Site after any such change constitutes your acceptance of the revised Terms.
All materials on the Site are provided for general informational purposes only. They are not, and shall not be construed as, a commercial offer, a license, or an advisory, fiduciary or professional relationship between you and AI Labs. Nothing on the Site is a substitute for your own independent investigation.
The Site describes AI Labs’ proprietary solutions (including the Minsky™ AI Platform Suite), services, expertise and project experience. Some products or services described on the Site may not be available in your country or region, or may not be available at all. Use of any AI Labs product or service is governed by the applicable written agreement or product-specific terms, not by the Site content.
You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

Links to third-party websites are provided for convenience only and do not imply any approval or endorsement by AI Labs of the linked sites, even if they contain AI Labs’ name or logo, as those sites are beyond our control. AI Labs is not responsible for the content of any linked site or any link contained in a linked site. You should protect yourself against viruses, worms, Trojan horses and other potentially destructive programs that may be present on third-party websites, and you are responsible for reviewing and complying with the terms of use applicable to those websites.
AI Labs does not assume any obligation to monitor information that you submit through the Site, including through contact forms and demo requests.
You warrant that any information, materials or comments (other than personal data) that you transmit to AI Labs through the Site (“Submissions”) do not infringe any intellectual property right or violate any applicable law, and do not contain any virus, worm, Trojan horse or other potentially destructive program or otherwise affect the integrity or security of the Site. Unless we have agreed otherwise in a separate written agreement (such as a non-disclosure agreement), Submissions will be treated as non-confidential and non-proprietary.
By making a Submission, you grant AI Labs a worldwide, non-exclusive, royalty-free, perpetual and irrevocable license, with the right to sublicense, to use, copy, display, modify, transmit and otherwise exploit the Submission, including any underlying idea, concept or know-how, in whole or in part, in any manner or medium.
Please do not submit through the Site any confidential business information, protected health information, payment card or financial account numbers, government identification numbers or other sensitive data. Personal data you provide is handled in accordance with our Privacy Policy.
The Site is protected by intellectual property laws, including trademark, copyright and database rights, and is the exclusive property of AI Labs or its licensors. All material on the Site, including text, data, graphics, images, audio, video, logos, icons, software and HTML code, is protected by intellectual property law and remains the property of AI Labs or the applicable third party.
You may view, copy, download and print material from the Site for your personal, non-commercial purposes or for your internal business evaluation of AI Labs’ products and services, provided that you keep all copyright and proprietary notices intact and do not modify the material in any way. Any other use of the Site content without AI Labs’ prior written authorization is prohibited. Non-compliance may constitute infringement or unfair competition and may result in civil and/or criminal liability.

All other trademarks, product names and company names that appear on the Site and are not owned by AI Labs (including the names of technology partners and third-party platforms referred to in our case studies) are the property of their respective owners, who may or may not be affiliated with, connected to or sponsored by AI Labs. You must obtain specific written authorization before using any trademark owned by AI Labs or any third party for any purpose.
The Site includes case studies, proofs of concept, success stories and descriptions of AI-powered tools. These describe particular engagements or demonstrations carried out under specific conditions and with specific data. Results described on the Site are illustrative only; they are not a guarantee, warranty or prediction of the results you may achieve.
Content relating to healthcare, medical, legal, financial, insurance, regulatory, environmental or other specialist subjects, including descriptions of AI assistants and predictive models, is provided to illustrate technical capabilities. It is general information only and is not medical, legal, financial or other professional advice, and must not be used for diagnosis, treatment or any decision-making in place of a qualified professional. You should consult an appropriately qualified professional before acting on any such information.
ALL MATERIALS ON THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
While AI Labs uses reasonable efforts to provide reliable information through the Site, we do not warrant that the Site or its content is free of inaccuracies, errors or omissions, that it is appropriate for your particular use, that it is current, or that the Site will be uninterrupted or free of viruses or other harmful components. AI Labs may change the Site or its content at any time without notice. AI Labs does not warrant any results derived from the use of any material on the Site. You are solely responsible for your use of the Site and its content, and you use the Site at your own risk. You must comply with all applicable laws, rules and regulations.
Information on the Site does not extend or modify any warranty that may apply to you under a written contract with AI Labs.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AI LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUES, BUSINESS INTERRUPTION, LOSS OF GOODWILL, WORK STOPPAGE, SECURITY BREACH, VIRUSES, COMPUTER FAILURE OR MALFUNCTION, OR LOSS OF DATA, ARISING OUT OF OR IN CONNECTION WITH THE USE OF, INABILITY TO USE, OR RELIANCE ON THE SITE, ANY MATERIAL ON IT OR ANY LINKED SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
To the extent liability cannot be excluded under applicable law, the total aggregate liability of AI Labs arising out of or relating to your use of the Site will not exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above may not apply to you; in that case our liability is limited to the fullest extent permitted by law.
You agree to defend, indemnify and hold harmless AI Labs and its officers, directors, employees and affiliates from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your Submissions, or your violation of these Terms or of any applicable law or third-party right.
Your use of the Site is also subject to our Privacy Policy, which explains how we collect and use personal data, and to the cookie choices you make through the Cookie Settings available on the Site. By using the Site you acknowledge that you have read the Privacy Policy.
You agree to comply with all applicable United States and international export control and economic sanctions laws and regulations in connection with your use of the Site and its content. You represent that you are not located in, or ordinarily resident in, a country or region subject to comprehensive U.S. sanctions, and that you are not identified on any U.S. government list of restricted or prohibited parties.
If any provision of these Terms is held to be invalid, illegal or unenforceable for any reason, that invalidity, illegality or unenforceability will not affect any other provision of these Terms, which will remain in full force and effect.
The failure or delay of AI Labs in exercising any right or remedy provided by these Terms or by law does not constitute a waiver of that right or remedy. A waiver by AI Labs of any breach of these Terms does not operate as a waiver of any subsequent breach.
These Terms, and any controversy or claim arising out of or related to them or to your use of the Site, are governed by the laws of the State of Arizona, USA, and applicable U.S. federal law, without regard to conflict-of-law principles. You and AI Labs agree that the state and federal courts located in Maricopa County, Arizona will have exclusive jurisdiction over any such controversy or claim, and you consent to the personal jurisdiction of those courts.
These Terms, together with the documents referred to in Section 1, constitute the entire agreement between you and AI Labs regarding the Site and supersede all prior understandings on that subject. You may not assign or transfer your rights or obligations under these Terms without our prior written consent; AI Labs may assign these Terms in connection with a merger, acquisition or sale of assets. Headings are for convenience only and do not affect the interpretation of these Terms.
